- Managing the Legal Department.
- Draft, review, and negotiate a variety of contracts, agreements, memoranda, letters, etc., including joint venture agreements, shareholders’ agreements, EPC contracts, sale and purchase agreements, and other commercial contracts.
- Establish and maintain a contract management system to track contract performance, renewals, and compliance.
- Preparing legal opinions related to the matters arising out of and in connection with the contractual relations of the Company.
- Provide legal support for mergers, acquisitions, divestitures, and joint ventures.
- Conduct legal due diligence and risk assessments for potential transactions.
- Providing legal advice and support to the various management teams within the Company.
- Identify and assess legal risks associated with the company's operations and strategic initiatives.
- Develop and implement risk mitigation strategies to protect the company's interests.
- Advise senior management on risk management and corporate governance practices.
- Ensure compliance with corporate governance requirements and maintain corporate records.
- Prepare and manage documentation for board meetings and shareholder meetings.
- Develop and update company policies and procedures to ensure legal compliance and best practices.
- Conduct training sessions for employees on legal and compliance issues relevant to the energy sector.
- Promote a culture of legal awareness and ethical behavior within the organization.
- University degree in law from an reputable international university
- Minimum 5 years of work experience as the senior lawyer in managerial position.
- Solid knowledge of English law, International and Azerbaijani law.
- Knowledge of Contract law, Private Law, Commercial Law, Energy Law.
- Extensive experience in corporate law, preferably within the energy sector.
- Excellent contract negotiation and drafting skills.
- Strong analytical and problem-solving abilities.
- Excellent communication and interpersonal skills.
- Ability to work independently and as part of a team.
- Strong ethical standards and integrity.
- Fluent written and verbal English and Azerbaijani. Knowledge of any other foreign language is welcomed.
