The role objective is to assist in meeting environment and social lender expectations for project financing and comply with environment and social loan conditions post-financial close, with specific tasks and priorities varying depending on the phase of the project (i.e., due diligence, development and set up for production).
The role provides E&S lender consultant interfacing on behalf of the E&S teams with guidance from Treasurers to meet obligations required under the project financing and includes interfaces across Global Projects, technical teams within the affiliate, EPC contractors, consultants, Project Operator, and the Lenders’ Independent Environmental and Social Consultant (IESC).
JOB RESPONSIBILITIES
The following list of tasks are indicative of, but not limited to, the scope of the role:
Due Diligence Phase
- Internal training and awareness of Lender E&S expectations
- Review of IESC engagement terms of reference
- Assist with:
- Development and implementation of Lender engagement strategy
- Development of Lender engagement schedule
- Formulating and conveying key E&S messages to Lenders under updated standards including Human Rights, FPIC and biodiversity focus
- Formulating and conveying key E&S messages to EM Management
- Preparation of E&S material for the ITT
- Technical support in the review and development of the EIS and ESMPs
- Planning and hosting of IESC due diligence site visits
- Preparation of E&S materials for IESC review
- Review of IESC due diligence reports (e.g., Preliminary Impressions Report, E&S Due Diligence reports)
- Lender/IESC clarification meetings
- Tracking and responding to actions raised by IESC and requiring close-out prior to Financial Close
- Negotiation of the E&S Action Plan (or equivalent) and covenants with the IESC on behalf of the Lenders
- In put and review and of the E&S sections of the PIM
- Interactions with Project Operator, including development of common approaches to cross-cutting technical issues and subsequent communications with IESC
- Formulating and conveying key E&S messages to EM Management
- Assist with construction readiness reviews from an E&S perspective
- Agree the documentation that will be acceptable to the lenders to demonstrate how the project will manage both contractor and its own E&S commitments
- Ensure contractor management plans meet lender E&S requirements and are available for review (or an alternative developed such as Contractor Control Plans or equivalent)
- Highlight areas where construction contractors may need to adhere to Lender / project E&S requirements e.g., monthly report format, incident reporting, Management of Changes (MOC) so as to avoid duplicate systems or exposure to scope changes
- Assist with co-ordination and support for Lender E&S Approval Process
- Completing lender E&S applications or questionnaires
- Co-ordinating preparation of materials (including any supplemental E&S documentation)
- Monitoring the time of public disclosure to avoid delays in lender approval and financial closing
- Providing support to address E&S issues raised by external groups
- Assist with IESC Performance Monitoring:
- Planning, hosting and development of material for IESC Performance Monitoring visits
- Review and response to IESC Monitoring Reports
- Assist with E&S incident reporting and MOC requirements
- Assist with meeting requirements of the ESAP (or equivalent), including review of deliverables
- Assist with interactions with TE, including coordination of IESC engagement and responses to IESC Monitoring Reports
- Assist with the development of the Operations ESMP
- Formulating and conveying key E&S messages to EM Management
- Assist with IESC Performance Monitoring:
- Planning, hosting and development of E&S material for IESC Performance Monitoring visits
- Review and response to IESC Monitoring Reports
- Assist with E&S incident reporting
- Assist with interactions including coordination of IESC engagement and responses to IESC Monitoring Reports
- Experience in treasury, lender finance, public affairs, government relations, community affairs and/or business development
- Experience interfacing with government officials, external partners and vendors
