1. ABOUT LABA
Laba Holdings Limited is the umbrella landowner company of Porebada, Boera, Papa and Rea Rea in Central Province, Papua New Guinea. Laba delivers services into the PNG LNG and Papua LNG projects and operates a group of businesses across construction, logistics, training, technology and community services.

2. PURPOSE OF THE POSITION
Laba is moving a portfolio of joint ventures from letter of intent to signed and operating in time for Papua LNG construction. Each venture needs its documents negotiated, its structure set up, its board constituted and its controls enforced.
The Joint Venture Manager owns the portfolio for the CEO from term sheet to first contract, then runs the governance of each operating venture under Laba's joint venture control policy.

3. THE PORTFOLIO
Laba's joint ventures and partnerships span camp construction and services, construction, transport and logistics, workforce and immigration services, connectivity, fleet leasing and specialised mechanical services. Partners are Papua New Guinean and international companies, including EPC contractors and specialist service providers.

4. LABA STANDARD RESPONSIBILITIES
•Uphold and live by the Laba Holdings vision, mission and values: more than just a landowner company.
•Comply with Laba's contractual obligations to its clients, and with Laba policies, procedures and delegations of authority.
•Work to the QHSE policy. Stop work authority applies to every person.
•Give first preference to the people of Porebada, Boera, Papa and Rea Rea in every hiring, training and procurement decision, as the Project Labour Agreement requires.

5.KEY RESPONSIBILITIES
•Own the joint venture pipeline and keep one register: parties, structure, documents, status, next decision and owner for every venture.
•Negotiate term sheets and definitive documents from Laba's joint venture template suite: term sheet, constitution, shareholders' deed, management services agreement, deed of accession and capability transition plan. Work with Laba's lawyers and advisers and bring each document to the CEO for approval.
•Build every venture on Laba's control instruments: reserved matters with a Laba Holdings veto, the client interface held at Laba Holdings, money controls, a revocable brand licence, and reporting and step-in rights.
•Set each venture up: incorporation or an unincorporated joint venture agreement, IPA registration, bank accounts, tax registration, a board and a quarterly board calendar.
•Prepare the investment case and Board paper for every new venture and every material change to an existing one.
•Run venture governance once operating: monthly reporting by day ten, quarterly board packs, distributions and related-party transactions.
•Hold the working relationship with each partner and escalate disputes to the CEO early.
•Where a venture is the bidding vehicle, support the bid team on structure, partner inputs and pre-qualification with the client and head contractor.
•Deliver each venture's capability transition plan, so that roles and skills move to Laba and to the people of Porebada, Boera, Papa and Rea Rea.
•Develop a PNG national successor for this position.

6.KEY PERFORMANCE INDICATORS, FIRST TWELVE MONTHS
•Joint venture register live and reported to the CEO within 30 days of start.
•Priority construction joint venture documented in time for the head contractor's award timetable.
•Each letter-of-intent venture either signed or closed by Board decision within six months.
•Every operating venture compliant with Laba's control instruments within twelve months.
•Venture reporting to the CEO by day ten, twelve of twelve.

7.MINIMUM REQUIREMENTS
Essential

•Twelve years or more in joint ventures, corporate development or commercial management in resources, construction or infrastructure.
•Has negotiated and closed several joint ventures, including shareholders' agreements and management services agreements.
•Has set up joint venture governance: boards, reserved matters, reporting and distributions.
•Has worked with EPC head contractors and a Tier 1 operator.
•Financial modelling and commercial evaluation to investment committee standard.
•Degree in law, commerce, finance or a related discipline.
•Eligible to work in Papua New Guinea, with work permit and visa support available where required.
Desirable
•Working knowledge of PNG company law, IPA requirements and the National Content Policy.
•Experience with landowner companies or community-owned groups.
•Experience with Chinese, Japanese or Korean contractors.
