Airswift is seeking a Senior Lawyer to work in Rio de Janeiro, on a permanent position with a company that operates in the oil and natural gas exploration, development, and production sector.
JOB RESPONSIBILITIES
Support the Company's day-to-day legal operations, focusing primarily on corporate governance matters, including the drafting and maintenance of corporate documents, powers of attorney, board and shareholder resolutions, and related records.
Analyze, draft, and manage contracts related to routine operations, procurement, and service contracting, ensuring alignment with applicable laws, international policies, and standard templates, subject to internal supervision and alignment.
Provide legal support to internal departments (including procurement, finance, and project teams) on operational matters, assisting in the identification of legal and compliance risks and supporting the implementation of practical, compliant solutions.
Support internal compliance and internal control activities, including document preparation, international screenings, and the coordination of matters related to regulatory, contractual, and governance requirements.
Coordinate actions with external legal counsel and advisors on specific issues as needed, monitoring the progress of legal work, deadlines, and documentation.
Support interactions with regulatory authorities and other stakeholders (e.g., ANP and PPSA), subject to internal coordination and alignment.
Support legal activities related to new projects and business ventures, including document analysis, information consolidation, and internal cooperation as required.
Perform other duties related to legal and compliance areas within the scope of the legal function, as exclusively assigned by the Company's legal leadership.
JOB QUALIFICATIONS
Bachelor's Degree
Advanced English is required
Experience in corporate legal, compliance, or internal control functions. Experience in law firms is welcome, particularly in corporate law, commercial contracts, or regulatory matters.
In-house experience in corporate governance, contract management, compliance, or internal controls is highly valued.
Solid legal foundation, with the ability to independently draft, analyze, and review contracts and legal documents related to day-to-day operations, acquisitions, and compliance matters.
Strong capability in preparing and managing compliance and governance documentation, with a sound understanding of corporate governance structures, internal controls, and compliance processes within a corporate environment.
Practical experience in managing and organizing corporate legal matters, including maintaining clarity and consistency in corporate records, authorizations, and internal legal procedures.
